You shall immediately notify DEMOMLM of any unauthorized use of these Identifiers, or any other breach of security. You are fully responsible for all activities that occur under these Identifiers. DEMOMLM is not responsible for any misuse of your account by someone who uses your Identifiers. (ii) Termination You agree that DEMOMLM, in its sole discretion, may terminate your password, account (or any other part thereof) or use the service, and remove and discard any content within, for any reason, including, without limitation, for lack of use or if DEMOMLM believes that you have violated or acted inconsistently with the letter of spirit of the Terms of Use. Auto Maintenance With reference to Section 3 - Responsibility of An IC as stated in the Policies and Procedures, Clause 9 that upon presenting of the Company's business plan, an IC should and must: i. Make clear that there is no requirement that a prospective IC must make any purchase other than paying the registration fee to become an IC. ii. However, all IBTs are required to fulfill the qualification of conditions set in the Marketing Plan in order to enjoy the commission payment. iii.I hereby agreed that I would like to enjoy the Company Bonus Plan Program payment as stipulated in the DEMOMLM.COM's Marketing Plan , therefore, I request the company to exercise the Auto Maintenance system of minimum RM152.00 per month so that I meet my monthly maintenance requirement. However, I have also been informed that this Auto Maintenance system is subject to my earning in CC Marketing Plan, and it can only be implemented when I have sufficient earning in PBB Bonus Plan, otherwise, I accept that it is my duty to check if I am qualified for the auto maintenance before the 25th of each month. POLICIES AND PROCEDURES Welcome to DEMOMLM Virtual Network. This Policy and Procedures has been adopted by DEMOMLM Virtual Network (hereby referred as the Company) to define the obligations, duties and responsibilities of the Reserves Cyberpreneurs (ICs). These rules have been developed to preserve the benefits, rights and privileges of the ICs and are not meant to restrict nor limit their business. Our Policy and Procedures shall be construed and enforced in accordance with the laws of Malaysia, and shall be governed in all respects thereby. The parties agree that jurisdiction and venue shall lie with the place of acceptance of the IC application form in Malaysia. SECTION 1 - Reserves CYBERPRENEUR RULES AND REGULATIONS 1. Any person of 18 years and above can apply to be an IC. 2. A person is entitled to only one IC once only at any one time. 3. To become an IC, the applicant must be sponsored by an existing IC and pay the appropriate registration fee. An IC membership application form must be completed and submitted to the Company for approval. The ownership is not effective until it has been approved by the Company officially. Approval is at the sole discretion of the Company and the Company need not give any reason should the application be rejected. 4. Approval is officially given by way of a cash sales receipt or any other official document issued by the Company in writing or via e-mail. 5. Individuals who are ICs may conduct their business through a partnership or a private limited Company. Under such circumstances, approval has to be obtained from the Company. In the case of a private limited Company, the rules and procedures set forth in the IC's Manual remain unchanged. 6. In the case of a Partnership or Private Limited Company, the Company will recognize only one person to be named and authorized as the IC and this individual may participate in the training and activities if it is organized and sponsored by the company. 7. A former IC (or the spouse of a former IC) may apply to become a new IC under a new line of sponsorship after the lapse of not less than six (6) months. 8. The procedures in the above event are as follows: § A new IC application form must be sent to the Company. § The former IC who is approved for new IC status under this rule, may sponsor any IC formerly sponsored by him provided that the ownership of the IC to be sponsored, have elapsed at least six (6) months from the date of resignation or failure to maintain the said CC ownership. 9. An IC may resign at any time by giving seven days notice in writing to the Company. 10. In the event of the death of IC, his/her next of kin(s) must obtain a Letter of Administration in order to acquire the deceased's ownership. However, if the deceased has named a beneficiary or successor prior to his death, the ownership shall be automatically passed to the beneficiary or to the successor concerned. SECTION 2 - LIMITATION OF IC 1) Each IC is strictly an independent business-person whose success or failure depends on his/her efforts. There is no agency or employment relationship between the Company and any IC. 2) An IC does not have the authority or the power to bind the Company to any obligations or to any contract in the name of the Company to create a liability against the Company in any way for any purpose. -The buyer must be an existing IC of the Company. -The offer of sale must be made in the following sequence: The offer must first be made to the IC's sponsor or any uplines: If the uplines decline the offer, it must next be made to all the personally sponsored immediate downlines of the IC ü If the entire personally sponsored dowline IC has declined, the offer must next be made to any VIP Leaders who are recognized and approved by the Company. An administration fee of USD30.00 or Ringgit equivalent payable by cash or cheque to DEMOMLM Virtual Network. - All bonuses accruing to the ownership after the sale will be paid to the new owner(s) but all previous awards will not be transferred. The new owner IC will be given new awards based on activities accruing after the date of sale. SECTION 5 - BONUSES AND INCOME 1. All IBTs are not guaranteed of any income or assured of any success. Success will only come from hard work and from individual efforts accomplished through consistency and from the marketing plan. All bonuses will be paid except if there is a court order restraining or prohibiting such payments. 2. An IC shall accept full responsibility and be liable for all his/her income tax and other taxes if any. 3. The Company shall reserve the absolute right to deduct without notice, at any time, any or all monies owing by the IC to the Company from any bonuses due to the IC. 4. All incentives, bonuses and awards that are offered by the Company are valid and redeemable only while the IC is in force. 5. Any dispute or discrepancy in the bonus calculation or claim of non-receipt of bonus must be brought to the attention of the Company in writing within 48 hours from the bonus calculation date. 6. All IC are strongly advised to operate a savings/current account with a bank or banks nominated to ensure smooth receipt of bonus payments. SECTION 6 - RULES GOVERNING THE USE OF TRADE MARK, TRADE NAME AND COPYRIGHTED MATERIALS 1. The use of the Company's trade mark, trade name, logo, symbol, copyrighted materials or any other material pertaining thereto may not be used directly or indirectly by any one other than the Company. The Company will grant permission for such usage by IC only under very special circumstances. Any permission given must always be in writing. 2. Trademarks and the trade names identify a Company's business and its products and distinguish it and its products from all other companies and their products. Therefore, such trademarks and trade names must be protected to keep imitators from using the same trademarks and names and thus confusing the general public. 3. No IC may use the Company's logo or trade name nor may he refer to himself other than an independent IC on any of his cheques or other documents. 4. No IC may produce or procure from any source other than the Company any premium, give away items, stationary or promotional literature of any kind upon which the Company's name or logo or any of its trade name or marks is imprinted of which describes the characteristics and/or of any of the Company's product unless upon written approval from the Company. 5. All printed material by the Company are copyrighted and may not be reproduced in whole or in part by an IC or other persons except by written permission from the Company. SECTION 7 - ENFORCEMENT OF RULES & REGULATIONS It is a serious matter to violate the IC Policies And Procedures because it not only affects the business of an individual IC but it will also affect the opinions of the public, media and government authorities of our business. The Company will only consider the investigation and will take action on the reports of violation of the Rules of Conduct, where the violation is reported to the Company within the period of one year (12 months) from the date the violation took place. Any report of violation that occurs after one year shall not be considered. The Company, on its part will take all necessary steps to correct the situation through counseling and guidance. In more serious cases, where further action has to be taken, the following procedures will be followed: 1. If an IC discovers a possible violation of the Policies And Procedures, he must inform the Company and his upline or any higher position of the violation giving all the facts connected with it. The complainant may be asked to fill an official complaint form. 2. On receiving the complaint form duly filled, the Company will notify the IC concerned and will request an immediate explanation. 3. After all facts and circumstances relevant to the complaint have been reviewed, the Company will discuss the matter with the IC involved to obtain adequate assurance that the violation will not recur. 4. The Company will then send a written notice to his or her upline and its higher position, listing the specific complaint(s), stating the right course of action to adhere and setting a time limit for compliance. 5. If the upline or its higher position and or above level does not implement the corrective action(s) within the specific time limit indicated, the Company shall then reserve the right to take whatever action it deems fit. Notice of such action shall be send to all parties concerned by registered mail the last known addresses of the parties concerned. 6. If the appropriate corrective action is the termination of the IC's ownership, then the procedures outlined in sub-section 7(A) below shall be followed. If the appropriate corrective action is probation, then the procedures outlined in sub-section 7(B) shall be followed. SECTION 7: SUB SECTION A - TERMINATION OF AN IC The Company reserves the right to terminate the ownership: 1. if the IC breach any of the provisions of the Policies And Procedures applicable to IC. 2. if the Company is of the opinion that the IC and/or his/her spouse (whether or not the spouse is a registered IC) is found to be in contravention the Policies And Procedures. 3. if an IC is found to be a direct or indirect influence and or recruit other IC(s) into other multi-level marketing, network marketing company or companies resulting complaints from other up lines or having caused disruption in the network. And once an IC is terminated, he or his spouse shall not be allowed to re-apply as an IC permanently. SECTION 7: SUB SECTION B - PLACING AN IC ON PROBATION 1. As an alternative to termination, an IC may be placed on probation (where the violation is not too severe). Probation is instituted in order to curb further violation by the IC and/or his group. At the same time a mandatory reorientation program may be imposed upon the entire group. 2. Each time the Company receives a complaint or learns that an IC has seriously misrepresented the Marketing Plan, the Company shall immediately conduct an investigation to determine the truth and extent of misrepresentation if any. 3. Before probation is imposed, the Company shall notify the IC that the evidence of misrepresentation has been brought to the attention of the Company and that the Company has confirmed such misrepresentation through an internal investigation. An opportunity shall be given to the IC to present his/her own version of what could have happened and to conduct his/her own investigation and to take his/her own corrective action within his own group. 4. If the corrective measure fails or if the IC fails to take satisfactory action within the time period set by the Company, then the Company may impose probation. During this period, the Company may work with the IC and his/her organization and will monitor their activities to make sure that they comply with the Policies And Procedures. 5. Probation may result in any or all of the following consequences: - All payment of bonuses and other incentives may be suspended until further notice and are held in escrow by the Company throughout the period of probation. - Whether the monthly trade volume of the ownership on probation is to be counted towards qualification for Leadership Bonus and other bonuses, awards pins, invitation to seminars or other Company sponsored functions will be determined by the Company later at its absolute discretion when probation has been lifted. - The IC on probation will not be invited to attend seminars/forum and any other sponsored events held during the probation period even though they may have qualified for such business seminars prior to the probation period. 6. Lifting Probation - Once the Company is satisfied that the IC has made a serious commitment to change his/her ways for the better, the company will lift the probation and restore the full rights and privileges to the IC concerned. - If the Company is not satisfied that the IC is ready to be restored to his/her full right and privileges, the Company may: 3) An IC shall not use the Company's name, slogans and trademarks without the written consent of the Company. An IC shall not use such terminology or descriptive phrases or reference like "subsidiaries, employee and/or agent" in any of his/her stationary or printed matter. An IC shall fully indemnify the Company against any suit or liability arising from such misrepresentation. 4) An IC shall not declare or represent to party that he/she has exclusive ownership rights or any other rights of that nature from the Company. 5) No IC shall make any offer of settlement on behalf or otherwise bind the Company on any claim for damages relating to the Company's products. SECTION 3 - RESPONSIBILITIES OF AN IC 1. An IC has the responsibility to read and understand fully by the Rules of Conduct of an IC as well as stipulated in the rules and regulations . 2. An IC shall not under any circumstances sell the Company's products at any price other than the price set by the Company and the Company reserves the right to change product and other pricing from time to time at its sole discretion. 3. An IC shall not re-label or re-package or otherwise alter any of the Company's products in any way whatsoever. 4. An IC must not in any way misrepresent the quality or performance of the Company's products, make any claims for products other than those set out on product labels or in official Company literature and shall indemnify the Company in respect of any costs or damages arising from such misrepresentation. 5. An IC shall issue a customer receipt for every sale or present to the customer, a computer generated cash sales receipt provided by the Company. 6. Retail sales of products are not allowed within any retail establishment in any commercial premises. However, if the owners of retail establishments may be an IC, the product or Company literature may be displayed in the said retail establishment. Person to person sales between an IC and customer is the essence of multi-level marketing. It is essential that this relationship be conserved and nurtured in the business. 7. No products or business aids can be sold at trade fairs and exhibition unless prior written approval of the Company has been given. 8. An IC shall comply strictly with all the provisions of the Rules of Conduct, rules and regulations of the Direct Sales Act 1993 and Code of Ethics applicable to his ownership and shall not engage in any activity which may bring disrepute to himself or the Company. 9. Upon presenting the Company's business plan, an IC should and must: § Make clear that there is no requirement that a prospective IC must make any purchase other than paying the registration fee to become an IC. § However, all IBTs are required to fulfill the qualification of conditions set in the Marketing Plan in order to enjoy the commission payment. 10. The responsibility of a sponsor is to work with and assist new IBTs, to help them learn the business, to support and encourage them in achieving success in their businesses. 11. An IC is not permitted to diagnose or prescribe the Company's products as a specific treatment for any disease or condition. 12. The Ministry of Health does not permit specific claims or purported "cure". This legislation is in place to protect the public from those who would deliberately suggest that any substance or device would replace the need of established diagnostic or medical advice or treatment. 13. An IC shall agree and accept the Company's policy that forbids any purchase of IBC in large amount to achieve a level of commission or to advance in the business in an unhealthy manner. SECTION 4 -MERGER, SALE AND DIVISION OF AN IC 1. IC ownership cannot be merged or combined without the written approval of the Company in writing or via e-mail. 2. In the case of inheritance, consent may not be required from either upline or downline but a consent letter from the IC passing the inheritance or from his/her personal family (in the case of the death of an IC) is required. This is subject to the provision that the Company is satisfied that the inheritor is prepared and capable of handling the business. 3. An IC may offer his/her ownership for sale to another party. The conditions of a sale (except the price) of an IC ownership must be approved in writing by the Company before it can be affected. An offer for sale is subjected to the following conditions: - Extend the probation and take further corrective action or - Conclude the probation is a failure and terminate the violating IC in accordance with the procedures outlined in Subsection B of Section 7 above. SECTION 7: SUB SECTION C - TERMINATION OR PROBATION WITHOUT PRIOR NOTICE In certain circumstances where the Company considers that the violation of the Policies And Procedures is very serious, it may terminate the ownership even in the absence of a formal report from an IC or from the filing of a formal complaint. The Company shall however first investigate the matter thoroughly, having offered the violating IC an opportunity to explain and/or justify his/her conduct before termination. Where the violation is such a magnitude as to bring into serious questioning of the rights of such IC to continue to operate this business, the Company shall terminate the IC with immediate effect. The IC shall however have the right to request a review of its decision(s) in accordance with provision in Section 8 below. SECTION 8 - COMPLIANCE 1.Policies And Procedures together with the Code of Ethics are created as a guideline for the Company and all IC, and protect the rights of both. Any IC who violates any provision of these policies and procedures and Code of Ethics may have his/her ownership terminated. 2. Every IC is required to familiarize himself/ herself with the Policies And Procedures and Code of Ethics. 3. The Company reserves the right to change and/or amend any provision in the Policies And Procedures, IC Agreement or Code of Ethics without giving prior notice to the IC. However, a Memorandum will be sent from time to time to IBTs and any IC who does not keep track of these provisions will not be able to plead ignorance to the above. 4. This IC Agreement, IC Manual and the IC Application Form are all formal parts of the contract with the IC whose participation automatically signifies his/ her agreement to abide by all the Policies And Procedures herein and the Code of Ethics. 5. The Company reserves the right to make any changes deemed necessary for the success and well-being of the IC and the Company. All IBTs shall be bound by DEMOMLM amendments or additions to the above rules, regulations, terms and conditions. SECTION 9- CODE OF ETHICS The IC hereby agrees to conduct his/her business in an ethical and professional manner at all times and that: - he/she shall abide and support the Company's Rules of Conduct, Code of Ethics and the Rules & Regulations - he/she shall offer the very best service to his/her customers - he/she shall conduct himself/herself in a manner that will not bring discredit to his/her group or the Company and shall uphold the reputation of the Company at all times - he/she shall not make any claims in representing any of the Company's products other than such as approved by the Company in writing - he/she shall agree to the Company's addition or deletion of the contents in the IC Agreement so as to ensure a smooth business operation - he/she shall abide fully by the IC Agreement and the Rules & Regulations and any other policies and procedures that may be imposed by the Company or the government. SECTION 10 - THE DEMOMLM Rules & Regulations All IC must adhere strictly to the provisions of the Rules & Regulations with special emphasis on their conduct whilst transacting business. 1.AUTHORITY CARDS All IC who wish to conduct business must carry the National Registration Identification Card (NRIC) and IC Authority Card (IAC) introduced by the Company which is available in the printable format downloadable from the Company's website upon verification of membership acceptance. (For Malaysians Only) 2. BUSINESS HOURS Do not attempt to conduct business during prohibited hours without an appointment during the following time: - From 7.00 p.m. to 9.00 a.m. daily - On a rest day (some states observe Sunday whilst others observe Fridays) - On gazetted Public Holidays at Federal and State Level. 3. REQUEST TO LEAVE PREMISES If an IC is requested to leave the premises of the customer, he must not attempt to argue but to willingly leave the premises. SECTION 12 - AMENDMENTS & WAIVER These Policies and Procedures are incorporated into the IC Membership Application and constitute the entire agreement between the parties regarding their Membership relationship and supersede any prior agreements, representations and understandings (verbal, implied or otherwise) between the IC and the Company. The Company, however,reserves the right to alter or amend prices, Policies and Procedures, product availability and the Marketing Plan. Amendments are binding on all IBTs. The Company will notify active IBTs for any changes via electronic means and other forms of communication. If an officer of the Company, who is authorized to bind the Company in contracts or agreements, specifies in writing a waiver or amendment of any of these provisions, then that shall constitute a legally binding provision. SECTION 13 - PARTIAL VALIDITY Should any portion of these Policies and Procedures or of any other instruments referred to herein or issued by the Company be declared invalid by a court of competent jurisdiction, the balance of such rules, applications, or instruments shall remain in full force and effect. *By submitting this form, you have agreed to our terms and condition*
